Windcut Mahjong Wholesale Terms & Conditions

Welcome to the Windcut Mahjong retail partner network. These Wholesale Terms & Conditions ("Terms") govern all commercial purchasing, distribution, and commercial relationships between Windcut Mahjong ("Company," "we," "us") and authorized retail partners ("Stockist," "Retailer," "you"). Placing an order with us constitutes immediate acceptance of these Terms.

1. Partnership Vision & Retail Qualifications

We are passionate about bringing modern, high-art, custom American Mahjong sets to curated retail spaces. We prioritize collaborations with physical storefronts—such as lifestyle boutiques, gift shops, and home decor venues—that share our commitment to exceptional design, high product integrity, and an elevated customer experience.

  • Physical Location Recommendation: We strongly prefer partnering with businesses operating at least one physical brick-and-mortar retail location.
  • Seamless Access: We do not require an extensive formal account approval process prior to ordering. However, we reserve the right to audit retail listings or request storefront proof to ensure brand alignment and prevent brand misrepresentation.

2. Minimum Order Requirements (MOQ)

To maintain commercial efficiency and stock availability, wholesale orders must meet the following minimum thresholds:

  • Opening Order: Minimum volume of 5 full sets (mix-and-match across available collections).
  • Reorders: Minimum purchase value of $300 USD.

3. Commercial Pricing, Currency & Prepayment

  • Wholesale Pricing: Wholesale pricing and seasonal line sheets are confidential. Please contact us directly via email at s282341151@gmail.com to receive our full wholesale catalog and discounted price list.
  • Currency & Price Adjustments: All transactions are conducted in USD. We reserve the right to revise wholesale prices with a 30-day prior written notice.
  • Prepayment Policy: Orders are processed on a 100% prepaid basis. Production, allocation, and shipment will commence only upon receipt of full cleared payment.

4. Fulfillment, Flat-Rate Shipping & Address Restrictions

  • Flat-Rate Shipping: Orders under $1,000 USD incur a flat-rate shipping fee of $30. Orders over $1,000 USD qualify for free shipping. Unless otherwise specified, the default shipping method is sea freight, with an estimated delivery time of approximately 25–35 days.
  • Processing Timeline: Paid wholesale orders typically ship within 7 to 10 business days from our facility.
  • Destination Restrictions: Shipments are restricted strictly to verified retail store addresses or commercial storage warehouses. Dropshipping or direct shipping to end-consumer residential addresses is strictly prohibited unless authorized in writing.
  • Transit Liability: Once an order leaves our facility and is handed to the shipping carrier, Windcut Mahjong is not liable for carrier-induced transit delays or logistical bottlenecks.

5. Sales Finality, Defect Claims & Returns

All wholesale purchases are Final Sale. Standard returns, exchanges, or buyer’s remorse refunds are not accepted.

  • Reporting Window: Any claims regarding damaged items, manufacturing defects, or order discrepancies must be submitted within 7 calendar days of order delivery.
  • Claim Submission: Please submit written notice along with detailed high-resolution photos/videos of the damage and outer packaging directly to s282341151@gmail.com.
  • Remedies: Validated claims will be remedied via replacement stock or account store credit at our sole discretion.

6. Retail Brand Standards & MAP (Minimum Advertised Price) Policy

To safeguard the premium market value of Windcut Mahjong products and ensure equitable competition across all retail channels, all partners must adhere to strict pricing protocols:

A. MSRP (Manufacturer’s Suggested Retail Price)

The official MSRP established by Windcut Mahjong must be displayed across all public-facing platforms, including storefront displays, e-commerce listings, social media marketing, printed collateral, and email newsletters.

B. MAP & Authorized Promotional Limits

Publicly advertised prices may not exceed a maximum discount of 10% off MSRP unless Windcut Mahjong explicitly authorizes a temporary seasonal promotion in writing.

C. E-Commerce & Online Advertising

Online listings (on retailer-owned websites or third-party marketplaces) may never advertise lower than MSRP without prior written consent. Unilateral sitewide store discount codes, sitewide coupons, or targeted digital ads displaying slashed retail prices are strictly prohibited.
(Note: In-person, private in-store quotes, or offline individual customer discounts are permitted at the retailer's discretion.)

D. Non-Compliance Protocol

Violations of our MAP policy undermine brand value. First offenses will result in a formal written warning. Continued non-compliance will lead to immediate termination of wholesale privileges and cancellation of pending orders.

7. Intellectual Property & Marketing Assets

Retailers are granted a revocable, non-exclusive license to utilize official Windcut Mahjong high-resolution imagery, product photography, and text descriptions solely for marketing and selling our products.

  • Asset Integrity: You may not alter, edit, crop logos out of, or re-brand our original graphics, imagery, product packaging, or trademarks without prior written clearance.

8. Order Modifications, Cancellations & Inventory Allocations

  • Cancellation Window: Order modification or cancellation requests must be submitted in writing within 48 hours of order placement AND prior to dispatch, whichever comes first. Once shipped, orders cannot be modified or canceled.
  • Allocation Limits: To manage high market demand and seasonal inventory levels, Windcut Mahjong reserves the right to cap order quantities per product line, per account, or per retail location at any time.

9. Regional Territory & Non-Exclusivity

Unless formal geographic exclusivity is negotiated and executed via a separate written agreement, wholesale accounts are non-exclusive. Windcut Mahjong does not guarantee zip-code or territorial exclusivity to stockists.

10. Account Review & Termination Authority

Windcut Mahjong retains full legal authority to suspend, decline, or terminate wholesale access, cancel unfulfilled orders, or revoke brand licensing at any time if a stockist violates these Terms, misrepresents the brand, or engages in unfair commercial practices.

11. Legal Framework & Terms Updates

  • Governing Law: This Agreement and any commercial disputes arising from it shall be governed by and construed in accordance with applicable laws.
  • Updates to Terms: We reserve the right to update or alter these Terms as necessary. Continued placement of wholesale orders signifies ongoing acceptance of our latest Terms & Conditions.
